API Terms of Use
Terms of use for Telvoip’s Application Programming Interface
These Terms of Use govern access to and usage of the Telvoip Application Programming Interface (the “Telvoip API”). By utilising the Telvoip API you (“Developer”) acknowledge and accept these Terms of Use, which form a binding agreement between you and Telvoip.
Definitions
- “Application” means software developed by Developer that utilises the Telvoip API.
- “Confidential Information” refers to nonpublic business, technical, financial, or other proprietary information disclosed by one party to another under this Agreement, but excludes information that is independently developed without breach of this Agreement or becomes publicly known through no wrongful act.
- “Documentation” means written materials provided by Telvoip describing the functionality, features, limitations, and requirements related to the Telvoip API.
- “Intellectual Property Rights” refer to copyrights, patents, trademarks, trade secrets, and other intellectual property rights recognised nationally.
License Grant
Subject to compliance with these Terms of Use, Telvoip grants the developer a limited, non-exclusive, non-transferable license to utilise the Telvoip API solely to develop applications. The scope of the license granted herein does not include sublicensing, reselling, renting, leasing, assigning, or otherwise transferring the Telvoip API to third parties.
Restrictions
- Developer shall only use the Telvoip API for lawful purposes and within the bounds of applicable laws and regulations.
- Developer agrees not to reverse engineer, decompile, disassemble, or attempt to derive source code from the Telvoip API.
- Developer must comply with all documentation and instructions provided by Telvoip relating to the Telvoip API.
- Developer shall not engage in activities that interfere with or disrupt the Telvoip API, its servers, networks, or systems.
- Developer acknowledges that the Telvoip API contains confidential information belonging to Telvoip and agrees to protect such confidential information in accordance with applicable laws and regulations.
Intellectual Property Ownership
All rights, title, and interest in and to the Telvoip API, including all associated intellectual property rights therein, remain exclusively owned by Telvoip. The developer acquires no ownership rights whatsoever in the Telvoip API.
Fees
The use of the Telvoip API is subject to payment of fees as specified in separate fee schedules published by Telvoip. Failure to pay fees when due constitutes a material breach of this agreement.
Confidentiality
Each party agrees to maintain the confidentiality of the other party’s confidential information and take reasonable precautions to safeguard such confidential information against unauthorised disclosure or use. Each party further agrees not to use confidential information except as expressly permitted by this agreement.
Indemnification
The developer agrees to indemnify, defend, and hold harmless Telvoip, its directors, employees, agents, affiliates, and licensors from and against any claims, actions, suits, proceedings, liabilities, obligations, losses, damages, judgments, fines, penalties, costs, and expenses arising out of or resulting from the developer’s violation of this agreement, developer’s misuse of the Telvoip API, or developer’s infringement, misappropriation, or violation of any third party rights.
Disclaimer of Warranty
THE TELVOIP API IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ARISING OUT OF COURSE OF DEALING OR USAGE IN TRADE. TELVOIP DOES NOT WARRANT THAT THE TELVOIP API WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR COMPATIBLE WITH ALL APPLICATIONS OR HARDWARE CONFIGURATIONS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TELVOIP BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES WHATSOEVER RESULTING FROM THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. TELVOIP’S ENTIRE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO DIRECT DAMAGES SUFFERED UP TO THE AMOUNT PAID BY THE DEVELOPER FOR THE USE OF THE TELVOIP API DURING THE TIME IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Termination
- Either party may terminate this agreement upon thirty days’ prior notice if the other party materially breaches this agreement and fails to cure such breach within thirty days.
- Upon expiration or termination of this agreement, the developer shall cease all use of Telvoip API immediately.
Miscellaneous Provisions
- Entire agreement: This agreement represents the entire understanding between the parties concerning the subject matter described herein and supersedes all previous agreements, representations, warranties, and communications between the parties, whether oral or written, with respect thereto.
- Assignment: Neither party may assign this agreement without the prior written consent of the other party, except that either party may assign this agreement to a successor entity in connection with a merger, acquisition, or sale of substantially all assets. Any attempted assignment in contravention of this section shall be void.
- Severability: In case any provision of this agreement is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Notices: All notices required or permitted under this agreement shall be given in writing via email addressed to the respective addresses listed above.
- Governing law: This agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya.
